The name of the organization will be The Parents' Association of the Perrysburg Public Elementary Schools.
To bring into closer relation the home and the school, and to promote the welfare of the children in the Perrysburg Public Elementary Schools.
ARTICLE IV : MEMBERSHIPSEC. 1 The association will be non-commercial, non-sectarian and non-partisan. Said Corporation is organized exclusively for charitable, educational purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (C) (3) of the Internal Revenue
Code of 1954 (or the corresponding provisions of any future United States Internal Revenue Law).
SEC.2 The Parents' Association may provide a forum for explanation and discussion of school policies and provide for an interchange of ideas between parents and school staffs.
SEC. 3 No member or officer shall represent the Parents' Association as having taken a position on any issued unless specifically voted on by the membership.
ARTICLE V : OFFICERSEvery parent or guardian of a child attending a Perrysburg Public Elementary School shall be eligible for membership. All members may attend the General and Executive Committee meetings.
ARTICLE VI : AMENDMENTSThe elected officers of the association will be President, Secretary, Treasurer, four (4) vice Presidents (one from each school), and Historian. The executive Board shall consist of the elected officers and the Executive Committee shall consist of the elected officers and one chair from each committee.
ARTICLE VII : FUNDSThis Constitution may be amended at a regular meeting by two-thirds vote of members present and voting, providing notice of the proposed amendment was given at the previous meeting or made available to members in writing.
Note: In order to maintain our tax exempt status, Article III, Section 1: Policies, Article VII : Funds, and Article IX Dissolution of the Corporation, shall not be changed unless approved by the Internal Revenue Service.
ARTICLE VIII : CONFLICT OF INTERESTAll funds acquired by the association after payment of bills shall be used to further the objectives of the association.
No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and make payment and distribution in furtherance of the purpose set forth in article III hereof. No substantial part of the activities of the corporation shall be carrying on of propaganda or otherwise attempting to influence legislation and the corporation shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Las) or (b) by a corporation, contributions to which are deductible under section 170 (c) (2) of the internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).
ARTICLE IX : DISSOLUTION OF THE CORPORATIONBoard members of the Parents' Association of the Perrysburg Public Elementary Schools shall not represent any profit making organization, group or individual business with the purpose of personal profit or interest.
Upon the dissolution of the corporation, the board shall, after payment of making provision for the payment of all of the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purpose of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational purposes as shall at the time qualify as an exempt organization or organizations under section 501 (C) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), ad the Board shall determine. Any such assets not so disposed shall be disposed of by the court of Common Pleas of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations as said Court shall determine, which are organized and operated exclusively for such purposes.

Eligibility:
- Elected officers must be current dues payment members of the parents' Association during the term of office.
- Each year there will be one Vice President from each elementary school.
- The President will have served on the executive Committee for at least the year prior to election to office. The Historian will be the immediate past president or someone who has served on the Executive Committee for a minimum of two years.
- The President and President Elect shall not be from the same school.
Nominations:
- Officers listed in Article V of the constitution will be nominated by the nominating committee. The committee consists of the four Vice Presidents (one from each school), the President and the Secretary who acts as chairman of the committee. This committee will also secure chairmen from each school for the committees listed in Appendix A.
- The nominating committee will present its slate of officers at the April meeting.
- The presiding officer will announce that nominations for any elected office will be accepted from any member so long as they meet the eligibility requirements.
Elections: Election of officers will take place at the May meeting. Election will be by ballot when there is more than one nominee for any office.
Term Limits:
- The President may serve two (2) full terms.
- Other offices have no term limits.
ARTICLE III : DUTIESIf any vacancy occurs after an election, the remaining officers elected for that term would determine who would fill the vacancy.
The President will:
- Preside at all general and executive meetings.
- Be a member ex-officio of all committees.
- Provide each officer and committee chair with a copy of the Constitution and By Laws.
- Perform all other duties pertaining to the office.
- Select an elected officer to preside at meeting during an absence.
The Vice Presidents will:
- Act as aides to the President.
- Coordinate a volunteer appreciation reception each spring to thank all association volunteers.
- Act as liaison between the school principal, staff, committees and executive board for closer communication.
- Report happenings and concerns of said functions and school service committees to the executive board.
- Provide committee chairs with volunteer lists.
- Recruit committee members for committees listed in Appendix A.
The Secretary will:
- Keep job descriptions current and distribute to new officers and chairmen.
- Keep an accurate record of all general and executive meetings for the association.
- At the general meetings, report any motions passed at the executive meetings, if requested.
- Attend to such correspondence of the association as may be delegated.
- Mail minutes of the Executive meetings to executive committee members prior to the next scheduled meeting.
- Maintain current copies of the by-laws and Constitution.
The Treasurer will:
- Receive all money of the association.
- Keep accurate records of the receipts and expenditures.
- Pay all authorized bills.
- Present a statement of account at every meeting of the association and at other times when requested by the executive board.
- Make a full report at the last meeting of the school year.
- Chair the budget committee.
- Insure that the books are audited at the end of the year.
The Historian will:
ARTICLE IV : EXECUTIVE BOARD
- Act as an advisor to the Executive committee.
- Act as Parliamentarian.
- Perform other duties as may be delegated.
The executive committee will consist of the officers as listed in Article III and one chair from each standing, enrichment and fund-raising committee (see Appendix A). An invitation will be extended to each principal or his/her representative to attend executive meetings.
The duties of the executive board will be to set goals and evaluate all programs yearly.
The duties of the executive committee will be to plan and transact such business as may be referred to it by the association.
The executive committee will meet in august, October, November/December, January and April. An executive committee meeting can also be called at the request of two (2) or more members of the executive committee.
Voting: Members of the executive committee as listed in Article IV, A will each have one (1) vote.
All projects and programs must be approved by the executive committee.
Attendance:
- Mandatory attendance and/or a proxy is required from all executive committee members.
- To be excused:
a. Find an existing member to deliver the proxy and/or/ any report due to the board.
b.Notify the President and/or Secretary of the absence and to whom the proxy and report have been given.
- Three (3) unexcused absences will automatically relinquish the voting position.
ARTICLE V : COMMITTEESAll executive committee members must be dues paying members of the association.
ARTICLE VI : FINANCESA. Committees will be created and/or eliminated as may be required to promote the objectives and interests of the association. Committees will be divided into three (3) categories, standing, enrichment and fundraising. The committees will be listed yearly in Appendix A of the by-laws.
B. Chairmen will work with the Vice Presidents to ensure that all schools are represented on the committees.
C. Incoming and outgoing committee chairmen and officers should meet during the May meeting to ensure a smooth transition.
Operating Funds:
- The fiscal year will operate from July 1 through June 30.
- Membership dues will be charged at an amount determined by the executive committee per family per year.
- A budget meeting chaired by the Treasurer will be held in June. All officers and the committee chairman will be asked to attend. The treasurer will report the recommendations at the first executive committee meeting prior to the start of the school year. It will provide recommendations for expenditures to carry out the operation of the association to be approved and passed by the membership at the first general meeting.
- All funds acquired by the association after payment of bills will be used to further the objectives of the association.
- The executive committee must vote to approve all non-budgeted expenses over $50.00.
- Activities of the association, as defined in the by-laws, are funded by moneys collected from membership dues and a percentage (determined by the budget meeting) of the net profits from fundraisers.
Fundraisers Moneys:
- Each project will deduct their expenses from the gross profits.
- A percentage (determined by the budget committee) of the net profits will be used to fund the operating budget.
- All remaining funds will be placed in the general fund with the exception of Book Fair moneys which will be divided per capita among the libraries.
General Funds:
- Funds may be distributed by the association to the elementary schools. These funds should be used within one year of distribution. Funds not used within this time period will revert to the association to be used at the discretion of the executive committee.
- Any moneys remaining in the General Fund will be distributed according to the following criteria:
- Does this request for funds benefit students in all elementary schools?
- Does this request for funds enrich the education or contribute directly to the curriculum of the elementary schools?
- Does this request for funds attempt to balance the Parents' Association benefits among all grade levels over the course of the school year?
ARTICLE X : AMENDMENTSA. Each family who pays dues will have one vote.
B. Issues requiring a majority vote of members present and voting each year.
- Election of officers.
- Approval of budget.
C. Position of Parents' Association on an issue will require two-thirds vote of the members present and voting.
ARTICLE XI : PARLIAMENTARY AUTHORITYThese by-laws may be amended at an executive committee meeting by two-thirds vote, provided notice of the proposed amendments was given at the previous meeting or made available to the executive committee members in writing.
Revised & Adopted April 1994Robert's Rules of Order will be the parliamentary authority on all matters not covered by the Constitution and by-laws of this association.
